Terms of Service

1. Acceptance of Terms

Welcome to Visserra. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Visserra Inc. ("Visserra," "we," "us," or "our"), governing your access to and use of the Visserra mobile application, website, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Visserra is an AI-powered real estate search platform designed to help users discover residential properties in supported metropolitan markets. The Service provides, among other things:

• Personalized property recommendations generated through artificial intelligence and machine learning algorithms
• Aggregated listing data sourced from Multiple Listing Services (MLS), public records, and other third-party data providers
• AI-driven match scoring that evaluates properties against your stated preferences
• Price analysis tools, neighborhood insights, and market trend data
• The ability to connect with licensed real estate agents and brokers
• In-app messaging and communication features

The Service is intended for informational purposes and to facilitate connections between prospective renters or buyers and licensed real estate professionals. Visserra does not itself buy, sell, or lease real property.

3. User Accounts & Eligibility

To use certain features of the Service, you must create an account. By creating an account, you represent and warrant that:

• You are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater
• All information you provide during registration and throughout your use of the Service is accurate, current, and complete
• You will maintain and promptly update your account information to keep it accurate, current, and complete
• You are responsible for safeguarding your account credentials and for all activity that occurs under your account

You agree to notify Visserra immediately of any unauthorized use of your account. Visserra reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. User Conduct & Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Post, transmit, or share content that is unlawful, defamatory, obscene, fraudulent, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Harvest, scrape, or collect data from the Service through automated means, including bots, crawlers, or spiders, without our prior written consent
• Interfere with, disrupt, or create an undue burden on the Service or the networks or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service
• Use the Service for any commercial purpose not expressly authorized by Visserra, including but not limited to reselling listing data
• Engage in discriminatory conduct that violates the Fair Housing Act or any other applicable anti-discrimination laws

Visserra reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation removing offending content, suspending or terminating the account of such violators, and reporting such conduct to law enforcement authorities.

5. Listing Data & Accuracy

The listing information, property data, photographs, pricing, availability, and other content displayed on the Service ("Listing Data") is aggregated from third-party sources, including but not limited to Multiple Listing Services (MLS), public records, and data feeds provided by real estate brokerages and agents.

While Visserra strives to present accurate and up-to-date information, we do not warrant, represent, or guarantee the accuracy, completeness, timeliness, or reliability of any Listing Data. Property details, including but not limited to pricing, square footage, room counts, availability status, and amenities, may contain errors or become outdated without notice.

You acknowledge and agree that you should independently verify all Listing Data before making any real estate decisions. Visserra shall not be liable for any damages or losses arising from reliance on Listing Data presented through the Service.

6. Agent & Broker Relationships

Visserra is a technology platform that facilitates connections between users and licensed real estate agents and brokers ("Agents"). Visserra is not a licensed real estate brokerage, and the Service does not constitute real estate brokerage services.

Any engagement between you and an Agent facilitated through the Service is a direct relationship between you and that Agent. Visserra does not endorse, guarantee, or assume responsibility for any Agent's qualifications, advice, actions, or omissions. Visserra is not a party to any agreement you may enter into with an Agent, including but not limited to brokerage agreements, lease agreements, or purchase contracts.

You are solely responsible for evaluating and selecting any Agent you choose to work with and for conducting your own due diligence regarding any real estate transaction.

7. AI-Generated Content

The Service utilizes artificial intelligence and machine learning technologies to generate property recommendations, match scores, price analyses, neighborhood insights, and other content ("AI-Generated Content"). AI-Generated Content is provided for informational purposes only and should not be construed as professional real estate advice, financial advice, or legal advice.

AI-Generated Content may contain inaccuracies or errors. You acknowledge that AI-Generated Content is produced by automated systems and may not always reflect current market conditions or individual circumstances. You should not rely solely on AI-Generated Content when making real estate decisions and should consult with qualified professionals as appropriate.

8. Intellectual Property

The Service, including but not limited to its design, text, graphics, logos, icons, images, audio clips, software, algorithms, AI models, and the compilation thereof (collectively, the "Content"), is the property of Visserra Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Visserra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, except as generally and ordinarily permitted through the Service according to these Terms.

The Visserra name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Visserra Inc. or its affiliates. You may not use such marks without the prior written permission of Visserra Inc.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Visserra does not warrant that the Service will be uninterrupted, timely, secure, or error-free; that the information provided through the Service is accurate, reliable, or complete; or that defects in the Service will be corrected. No advice or information, whether oral or written, obtained by you from Visserra or through the Service shall create any warranty not expressly stated in these Terms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISSERRA INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service, including Agents
• Any Listing Data or AI-Generated Content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any real estate transaction or decision made in reliance on the Service

IN NO EVENT SHALL VISSERRA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID VISSERRA, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Visserra Inc., its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your conduct in connection with the Service.

13. Modifications to Terms

Visserra reserves the right to modify these Terms at any time in our sole discretion. If we make material changes to these Terms, we will provide notice through the Service or by other means, such as email or a prominent notice within the application, to provide you with the opportunity to review the changes before they become effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

14. Termination

You may terminate your account at any time by contacting us at support@visserra.com or through the account settings within the Service. Visserra may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the County of New York, State of New York. You consent to the personal jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

16. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Visserra concerning the Service.

Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver. The failure of Visserra to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment.You may not assign or transfer these Terms, by operation of law or otherwise, without Visserra's prior written consent. Visserra may assign or transfer these Terms, in whole or in part, without restriction.
